TERMS & CONDITIONS

SECTION 1

DEFINITIONS & ACCEPTANCE OF TERMS

In these Terms, “TruckWise Reporting”, “we”, “us”, and “our” refer to the TruckWise Reporting service provider. “You” or “Customer” refers to the individual or entity that creates an account, accesses, or uses the Services.

  • Services” means the TruckWise Reporting software, analytics, dashboards, exports, notifications, and any related support or implementation services.
  • Data” means data uploaded, connected, transmitted, or otherwise made available to TruckWise Reporting by or on behalf of you, including driver, vehicle, telematics, safety, and compliance data.
  • Authorized Users” means individuals you allow to access the Services under your account (for example, fleet managers or compliance staff).
  • Subscription” means the paid plan or license that governs your permitted use, as outlined in an order form or online checkout.

By clicking “I Agree”, creating an account, signing an order form, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein.

SECTION 2

SERVICE SCOPE, LICENSE & ACCEPTABLE USE

Subject to these Terms and your payment of applicable fees, TruckWise Reporting grants you a limited, non-exclusive, non-transferable license to access and use the Services during the Subscription term, solely for your internal business purposes.

  • Access is limited to Authorized Users under your account.
  • You are responsible for maintaining the confidentiality of login credentials.
  • You will promptly notify us of any unauthorized use of your account.
  • You remain responsible for all activity occurring under your account.

Prohibited Uses. You will not, and will not permit any third party to: (a) reverse engineer, decompile, or attempt to derive source code from the Services; (b) resell, sublicense, or provide the Services to third parties as a service bureau; (c) use the Services to build a competing product; or (d) use the Services in violation of applicable law (including FMCSA, DOT, or privacy regulations).

COMPLIANCE REMINDER

TruckWise Reporting is decision support software. You remain solely responsible for complying with FMCSA, DOT, state, and local regulations and for validating that any operational decisions taken using our reports meet your regulatory obligations.

SECTION 3

DATA, PRIVACY & SECURITY

Ownership. As between you and TruckWise Reporting, you retain all rights, title, and interest in and to your Data. You grant us a limited license to host, process, analyze, and display your Data solely to provide and improve the Services.

Privacy. Our handling of personal information is further described in our Privacy Policy, which is incorporated into these Terms by reference. To the extent required by law, separate data processing or business associate agreements may apply.

  • We implement administrative, technical, and physical safeguards designed to protect Data.
  • We may use aggregated or de-identified data to improve and benchmark the Services.
  • You are responsible for obtaining any consents from drivers or personnel whose data you connect to the Services.
  • You will not upload or transmit highly sensitive data (e.g., payment card numbers, government IDs) unless expressly agreed in writing.

SECURITY HIGHLIGHT

While TruckWise Reporting takes reasonable steps to secure your Data, no system can be guaranteed 100% secure. You acknowledge that you transmit Data at your own risk and that you should maintain appropriate backups of critical operational information.

Incident Notifications. In the event of a confirmed security incident impacting your Data, we will notify you without undue delay and provide information reasonably required for you to meet any applicable notification obligations.

SECTION 4

SUBSCRIPTIONS, BILLING & PLAN CHANGES

All fees for the Services are due and payable in advance, unless otherwise set out in an order form. Taxes, levies, and similar governmental charges are your responsibility and will be added as required by law.

Late Payments. We may charge interest on past due amounts at the lesser of 1.5% per month or the maximum rate permitted by law, and may suspend or terminate access for unpaid invoices.

  • Subscriptions automatically renew at the end of each term unless canceled in accordance with these Terms.

  • If you add vehicles, drivers, or modules, prorated charges may apply.

  • Vehicle removals will be reflected in the Client's monthly billing at the start of the following billing quarter. Billing adjustments for removed vehicles are not applied mid-quarter.

  • Failure to maintain valid payment information may result in suspension of access to the Services.

  • Fees are generally non-refundable except where required by applicable law.

COMPLIANCE RESPONSIBILITY, LIABILITY & DISCLAIMERS

Operational & Regulatory Compliance. The Services provide analytics and reporting to help you monitor operations, safety, and performance. However, you remain solely responsible for:

  • Ensuring your fleet complies with FMCSA, DOT, and other applicable regulations.
  • Validating report outputs before using them in audits, filings, or regulatory submissions.
  • Training your personnel on proper use of the information provided.
  • Maintaining accurate and up-to-date source systems that feed data into TruckWise Reporting.

Disclaimer of Warranties. The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

RISK & LIMITATION OF LIABILITY

Limitation of Liability. To the fullest extent permitted by law, TruckWise Reporting will not be liable for (a) lost profits, revenue, or business; (b) loss or corruption of data; or (c) any indirect, special, incidental, consequential, or punitive damages, even if advised of their possibility.

Cap on Direct Damages. Our aggregate liability arising out of or relating to the Services will not exceed the amounts actually paid by you to TruckWise Reporting for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnity. You agree to indemnify and hold TruckWise Reporting harmless from third-party claims arising from (i) your misuse of the Services, (ii) your violation of law, or (iii) our processing of your Data in accordance with these Terms.

SECTION 6

TERM, TERMINATION & INTELLECTUAL PROPERTY

Term & Renewal. These Terms become effective on the Effective Date and continue for the duration of your Subscription, renewing as described in your plan or order form.

Termination for Cause. Either party may terminate the Subscription for material breach by the other party that is not cured within thirty (30) days after written notice. We may terminate immediately in the event of non-payment, suspected fraud, or misuse of the Services.

Effect of Termination. Upon termination or expiration, your right to access the Services will cease. We may provide limited-time access to export your Data, if requested within thirty (30) days, unless prohibited by law or contract.

INTELLECTUAL PROPERTY HIGHLIGHT

All rights, title, and interest in and to the Services—including software, user interfaces, visual designs, documentation, and underlying technology—are owned by TruckWise Reporting or its licensors and are protected by intellectual property laws.

  • No ownership rights are transferred to you under these Terms.
  • You may provide feedback or suggestions; we may use them without restriction or obligation.
  • You may display TruckWise Reporting outputs internally, but may not remove proprietary notices or branding.

SECTION 7

GOVERNING LAW, CHANGES TO TERMS & MISCELLANEOUS

Changes to These Terms. We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page and, where required, provide additional notice (for example, by email or in-app notification). Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Governing Law & Venue. These Terms will be governed by and construed in accordance with the laws of the jurisdiction specified in your order form or account settings, without regard to conflict of law principles. The exclusive venue for any disputes arising out of or relating to these Terms or the Services will be the competent courts in that jurisdiction.

  • These Terms constitute the entire agreement between you and TruckWise Reporting with respect to the Services.
  • If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
  • You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger or sale of assets.
  • No failure or delay in enforcing any right will be deemed a waiver of that right.

IMPORTANT NOTICE

These Terms are legally binding. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have authority, or if you do not agree with these Terms, you must not access or use the Services.

Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and TruckWise Reporting. The parties are independent contractors.
